Strategy Intensive Terms & Conditions
Last updated: 3 November 2026
These Terms & Conditions apply to Strategy Intensive services provided by Ecom180 Ltd (“we”, “us” or “our”) of The Old Bakery, 90 Camden Road, Tunbridge Wells, TN 1 2QP, Registered in England No 15762607.
By booking and paying for a Strategy Intensive, you agree to these Terms & Conditions.
1. Business clients only
Strategy Intensives are provided for business purposes only.
By booking, you confirm that you are purchasing the service wholly or mainly for the purposes of a business, trade or profession. If you are booking on behalf of a company or other organisation, you confirm that you have authority to do so.
2. What is included
Unless otherwise agreed in writing, a Strategy Intensive includes:
review of relevant information and figures you provide before the session;
an initial strategy session of up to 2.5 hours;
a written action plan following the initial session; and
one follow-up session of up to 60 minutes, normally held within 14 days of the initial session.
The Intensive is tailored to the issues and priorities agreed with you. The follow-up session is intended to discuss the recommendations, progress and questions arising from the initial work rather than to begin a separate consulting project.
3. Information and preparation
You will be asked to complete a questionnaire and provide any relevant information, figures or documents before the initial session.
Unless otherwise agreed, this information should be provided at least five working days before the session to allow sufficient time for review.
You are responsible for ensuring that information you provide is accurate and reasonably complete. Our advice will be based on the information available to me at the time.
If information is supplied late or is incomplete, we may have less opportunity to review it before the session. This does not automatically entitle you to a refund or postponement.
4. Fees and payment
The fee for a Strategy Intensive is £1,250 + VAT, unless another fee has been agreed with you in writing.
Payment is required in full when booking.
Your booking is confirmed once payment has been successfully completed and you have received confirmation of the booking.
5. Rescheduling and cancellation
You may reschedule the initial session once, provided you give at least 48 hours' notice.
If you cancel before preparatory work has begun, the fee will be refunded less any non-refundable payment processing charges actually incurred.
If you cancel after preparatory work has begun, we may retain an appropriate proportion of the fee to reflect work already completed and time reserved for the engagement.
Cancellations or requests to rearrange made with less than 48 hours' notice, and missed appointments, may result in the full fee being retained.
The follow-up session may be rearranged once with at least 48 hours' notice. If you miss the follow-up session or do not use it within the agreed period without arranging an alternative with us, it will normally be treated as used.
If we need to cancel or rearrange a session, we will offer another suitable date. If we are unable to provide the agreed service, we will refund any amount paid for work that has not been provided.
6. Nature of the advice
The Strategy Intensive provides independent strategic and commercial advice based on the information available and our discussions.
Our role is to provide analysis, challenge, recommendations and an independent perspective. You remain responsible for all decisions you make and actions you take following the Intensive.
Business decisions involve uncertainty and no particular commercial, financial, revenue, profit or other outcome is guaranteed.
The service does not constitute legal, tax, accountancy, investment or other regulated professional advice. Where a decision requires specialist professional advice, you should obtain that advice from an appropriately qualified adviser.
7. Confidentiality
Information you provide in connection with the Intensive will be treated as confidential and will not be disclosed to third parties except:
where necessary to provide the service and you have agreed to the disclosure;
to our professional advisers where reasonably necessary;
where the information is already publicly available through no breach of confidence; or
where disclosure is required by law.
You are also expected to treat any confidential information, methods or materials we provide as confidential.
These confidentiality obligations continue after the Strategy Intensive has ended.
8. Intellectual property
You retain ownership of information, documents and materials you provide to us.
We retain ownership of our existing intellectual property, including methodologies, frameworks, processes, templates, know-how and other materials used in providing the service.
You may use the written action plan and other materials prepared specifically for you internally within your own business. They may also be shared with your employees and professional advisers where reasonably necessary.
They may not be resold, republished, distributed publicly or used to provide services to third parties without our written permission.
9. Limitation of liability
Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the paragraph above, we will not be liable for any indirect or consequential loss arising from or in connection with the Strategy Intensive.
Our total aggregate liability arising out of or in connection with the Strategy Intensive, whether in contract, tort (including negligence), misrepresentation or otherwise, will not exceed twice the fee paid for the Strategy Intensive.
Nothing in these Terms affects any liability that cannot legally be excluded or limited.
10. Third-party services and information
we may discuss or recommend third-party services, suppliers, platforms, software or other resources during the Intensive.
Unless expressly stated otherwise, we do not control or guarantee the performance of any third party and am not responsible for their services, pricing, availability or actions.
You remain responsible for deciding whether to engage or rely upon any third party.
11. Data protection
Personal information provided when booking or during the Intensive will be handled in accordance with our Privacy Policy, available at https://www.ecom180.com/privacy-policy.
Please avoid providing personal information relating to customers, employees or other individuals unless it is reasonably necessary for the work and you are entitled to share it.
12. Events outside my control
We will not be responsible for delay or failure to provide the service caused by circumstances outside my reasonable control.
Where possible, we will arrange an alternative date or make reasonable alternative arrangements.
13. Entire agreement
These Terms, together with the details shown when you book and anything specifically agreed between us in writing, form the agreement between us for the Strategy Intensive.
If the booking information specifies a particular price, date or service arrangement that differs from these general Terms, the specific booking information will take precedence for that particular booking.
Any change to the scope of the Intensive must be agreed between us.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
15. Governing law
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising from or relating to the Strategy Intensive.
